Supplemental Terms of Service for Whole-Genome Sequencing and Genomic Insights.

Supplemental to, and to be read with, the Mito Health Terms of Service, Privacy Policy, Consumer Health Data Notice, Genomic Data Privacy Notice, HIPAA Authorization, and Telehealth Consent.

1. Scope and Relationship to the Main Terms

These Genetic Services Terms (the “Genetic Terms”) supplement and form part of the Mito Health Terms of Service (the “Main Terms”). These Genetic Terms apply only when you order or use Mito’s genome sequencing and genomic-insights services (the “Genetic Services”). Capitalized terms not defined here have the meaning given in the Main Terms.

If there is a conflict between these Genetic Terms and the Main Terms with respect to the Genetic Services, these Genetic Terms control. Your use of the Genetic Services is also governed by our Privacy Policy, our Genomic Data Privacy Notice, and the separate Consent and Authorization for Genetic Services you complete at checkout.

2. What the Genetic Services Are

The Genetic Services let you order whole-genome sequencing (“WGS,” offered at approximately 3x and 30x coverage) and receive genomic data and educational genomic insights through Mito’s platform.

Sequencing provider. Sequencing is performed by an independent, CLIA- and CAP-accredited laboratory engaged through our third-party sequencing technology provider, Genetic Superintelligence Company (operating “The Genome Computer Company”) (the “Sequencing Provider”). The Sequencing Provider and its accredited laboratory process your biological sample and genomic data on Mito’s behalf as described in our Genomic Data Privacy Notice. The Sequencing Provider does not have its own consumer relationship with you.

What you receive. Depending on the option you select, you will receive genomic data files (which may include a .genome bundle, gVCF, and, on request, FASTQ files) and access to educational genomic insight panels within the Mito platform.

3. Genetic Services Are for Wellness and Educational Purposes Only

The Genetic Services are not medical services, and they do not screen for, diagnose, monitor, assess, or predict any disease, disorder, deficiency, deformity, or other medical condition. The Genetic Services should not be used as a substitute for treatment with a qualified health care provider.

The Genetic Services are a consumer wellness and educational product. The genomic data and insights are used purely for educational information about inherited tendencies to support your general wellness as described in Section 4.

The Genetic Services do not provide, and you must not rely on them for, any of the following:

• diagnosis of any disease or condition;
• disease-risk prediction or carrier screening;
• pharmacogenomic dosing or medication decisions (see Section 6);
• any medical, treatment, or emergency decision.

For any health question or decision, consult a qualified clinician or a certified genetic counselor. Nothing in the Genetic Services creates a physician-patient or other clinical relationship with Mito.

If you engage with Mito’s third-party telehealth partner (“Provider”), your Provider will not have access to your genomic data or insights. If a Provider wishes to utilize your genomic data for clinical purposes, that Provider must order such testing separately. The services provided by the Provider are separate and apart from the Genetic Services.

4. Genomic Insight Panels and the Mito Concierge

The educational genomic insight panels are generated from your genomic data by our Sequencing Provider’s interpretation service and surfaced within the Mito platform. The educational genomic insights panel is designed to help you understand and support your wellness journey by using your genomic data to provide personalized insights into nutrition, sleep, fitness, and other wellness topics. Each panel is accompanied by evidence levels, limitations, and a clinical boundary statement.

Unmodified safety information. Where an insight panel or answer is displayed, Mito will present the accompanying safety metadata, evidence levels, and limitations without modification, as required by our agreement with the Sequencing Provider.

Mito Concierge. The “Mito Concierge” is Mito’s AI chatbot that assists in providing personalized insights based on your data. The personalized insights by Mito Concierge are available only to users with a membership subscription with us. Mito Concierge may reference your educational genomic insights to help you understand what a panel means, but only for informational and educational purposes. Mito Concierge does not diagnose, does not provide medical advice, and does not recommend or adjust medications, supplements, dosing, or treatment. When a request calls for medical judgment, Mito Concierge will direct you to consult with a qualified professional.

5. Ancestry and Population Limitations

Genomic associations are established mainly in specific ancestral populations and may be less accurate, or not validated, for others. A genomic insight describes an inherited tendency established in research populations. It is not a measurement of your current health, diet, symptoms, or nutrient status.

6. Pharmacogenomics (PGx): Clinician-Gated

Pharmacogenomic (medication-response) information is provided for informational and educational purposes only. It is not dosing guidance and is not a directive to start, stop, or change any medication.

Your genomic data is not designed for clinical use. If you choose to transfer or disclose your genomic data to a third party, including to your healthcare provider, you hereby acknowledge that Mito is not responsible or liable for such use of your genomic data.

7. Eligibility and Geographic Availability

• Adults only. You must be at least 18 years old and ordering for yourself.
• United States only. The Genetic Services are offered only to residents of, and individuals located in, the United States.
• Texas excluded at launch. The Genetic Services are not available to residents of, or individuals located in, the State of Texas. This restriction reflects a current contractual requirement of our Sequencing Provider pending completion of compliance measures under the Texas Genomic Act of 2025, and may be updated in the future.
• No third-party or minor submissions. You may not order, submit a sample, or submit genomic data on behalf of a minor or any other person.

You confirm your eligibility and residency at checkout. You agree not to misrepresent your residency or to use another person’s identity or address, mail forwarding, or technical means to circumvent these restrictions.

8. Your Sample and Your Warranties

For any sample or genomic data you submit through the Genetic Services, you represent and warrant that it:

• is your own biological sample or your own genomic data;
• relates to a living adult (you) aged 18 or older;
• was lawfully collected and is submitted with your knowledge and consent; and
• is not submitted to resell, reverse-engineer, or benchmark the underlying services, or to build a competing interpretation database.

We may refuse, suspend, or direct destruction of any sample or data we reasonably believe was not lawfully obtained or properly consented, and may suspend or terminate access for breach of these Genetic Terms.

9. Consent

Before we submit your sample or genomic data for sequencing, you must provide your freely given, specific, informed, and express written consent through the separate Consent and Authorization for Genetic Services.

You may withdraw your consent at any time as described in the Genomic Data Privacy Notice. Withdrawal does not affect processing already completed, and is subject to limited records we must keep by law.

10. Orders, Sample Processing, Delivery, and Service Limitations

Order acceptance and timing. Your order is accepted only when Mito confirms it. The deliverables included with your purchase are those identified at checkout or in your order confirmation. Any timeline that Mito provides for kit shipment, sample receipt, sequencing, processing, or delivery of results is an estimate only and is not guaranteed. Processing may be delayed or prevented by shipping delays, sample quality or quantity, laboratory capacity, quality-control procedures, technical issues, or circumstances outside Mito’s reasonable control.

Sample sufficiency and processing failure. Mito or the accredited laboratory may determine that a sample is insufficient, damaged, contaminated, improperly collected, lost, or otherwise unsuitable for processing. If this occurs, Mito may offer a replacement kit, a further collection opportunity, resequencing, a credit, or a refund, in each case in Mito’s discretion and subject to applicable law. Mito is not required to provide a replacement, credit, or refund where the problem resulted from your failure to follow collection, packaging, shipment, or other applicable instructions.

Delivery of results. Mito will make completed deliverables available through the Mito platform. You are responsible for maintaining an active account and accurate contact information necessary to receive notices about your order and access the Genetic Services.

11. Data Ownership and Use

Your genomic data. As between you and Mito, you retain all rights and interests you may have in your biological sample, genetic data, and the genomic data files generated from your sample. Mito processes that information only as described in these Genetic Terms, the Consent and Authorization for Genetic Services, and the Genomic Data Privacy Notice.

Mito platform and technology. Mito and its licensors retain all right, title, and interest in and to the Genetic Services, including the Mito platform, software, interfaces, workflows, algorithms, models, educational content, reports, insight-panel design, trademarks, documentation, and all related intellectual-property rights. These Genetic Terms do not grant you any right or license in Mito’s or its licensors’ technology or intellectual property.

What we do not do. We do not sell your genomic data; we do not use it for targeted advertising; we do not use it to train artificial-intelligence models; we do not license or commercially distribute identifiable or de-identified genomic datasets; and we do not disclose it to researchers, pharmaceutical companies, insurers, employers, or data brokers. There is no research program. These commitments are described in, and controlled by, our Genomic Data Privacy Notice, which overrides any more general data-use language in our Main Terms or Privacy Policy with respect to genomic data.

12. No HIPAA Covered Service; Not Protected Health Information

The Genetic Services are consumer wellness services. They are not ordered pursuant to a physician’s order as a clinical genetic test, and the genomic data submitted to our Sequencing Provider is not protected health information (“PHI”) under the Health Insurance Portability and Accountability Act (“HIPAA”) or other medical privacy laws.

13. Genetic Non-Discrimination

The federal Genetic Information Nondiscrimination Act (GINA) prohibits discrimination based on genetic information in health insurance and employment. GINA does not extend to life, disability, or long-term-care insurance, and protections vary by state. Mito does not disclose your genomic data to your insurance provider or employer. You should consider these protections before independently sharing your genomic information.

Some state laws generally prohibit a direct-to-consumer genetic testing company from disclosing a consumer’s genetic data to an entity responsible for administering or making decisions regarding health insurance, life insurance, long-term-care insurance, disability insurance, or employment, or to an entity that advises such a decisionmaker. Except as required by valid legal process or applicable law, Mito does not disclose your genomic data to third parties. Mito discloses the minimum information necessary only to its contracted service providers, including its sequencing provider, accredited laboratory, hosting and storage providers, and other providers that perform services for Mito, and only so they can assist Mito in providing the Genetic Services.

14. Family Members and Relatives

Your genomic data can reveal information about your biological relatives. You are responsible for your own decisions about whether and how to share your results. Mito does not contact your relatives and does not use your data to make inferences about identifiable third parties.

15. Incidental Observations

The Genetic Services are not designed to screen you for disease and do not look for, or proactively report, medically significant findings. If you have concerns about a specific health condition, consult a clinician or certified genetic counselor, who can arrange appropriate clinical testing.

16. Refunds

Because laboratory costs are incurred once your sample is received, refund eligibility for the Genetic Services follows the laboratory-cost model: once the laboratory has received your sample, the sequencing fee is non-refundable, and no refund is provided after genomic data has been delivered. Other refund and credit terms in the Main Terms apply except where inconsistent with this Section.

17. Applicability of Main Terms; Disclaimers; Limitation of Liability; Indemnification

All provisions of the Main Terms that do not conflict with these Terms are hereby incorporated and made a part of these Genetic Terms, including but not limited to governing law, the disclaimers, limitation of liability, dispute resolution and arbitration, and indemnification provisions. Without limiting them, the Genetic Services and all genomic outputs are provided “as is” and “as available,” with no warranty that any insight is accurate, complete, current, or fit for any medical, diagnostic, or clinical purpose. You are responsible for how you use or share your genomic data after delivery.

18. Changes; Contact

We may update these Genetic Terms as described in the “Changes” provision of the Main Terms. Material changes affecting an order will apply to orders placed after the effective date. Questions: help@mitohealth.com.
